1. Scope
These terms apply to all sales by Adline to business customers (the "Buyer") of machines, accessories, consumables and spare parts (the "Goods"). They apply only to business (B2B) transactions. These terms prevail over the Buyer's own terms and conditions, which do not apply unless we accept them expressly in writing.
2. Quotations & orders
- Quotations are valid for the period stated on them; if no period is stated, they are indicative and may be revised.
- A contract is concluded only when we issue a proforma invoice or written order confirmation for the Buyer's order.
- The scope of supply is the one described in the proforma or order confirmation. Information on the website, in brochures or in catalogues is for guidance only.
3. Prices & payment
- Prices are in EUR and exclude VAT unless stated otherwise.
- Payment terms are those stated on the proforma invoice or order confirmation.
- Late payment bears interest and may give rise to recovery costs as provided by Romanian law. We may suspend deliveries or services while any amount is overdue.
4. Delivery
- EU-wide delivery is available and quoted per order.
- Unless the confirmation states otherwise, delivery is Ex Works / FCA (Incoterms 2020) from the agreed location.
- Delivery dates are estimates. Reasonable delays do not entitle the Buyer to cancel the order or claim damages.
- Risk passes to the Buyer in accordance with the agreed Incoterm.
5. Installation, training & service
- Installation, commissioning, operator training and service are available on request and are quoted separately per machine and country.
- They are not included in the price of the Goods unless the proforma or order confirmation expressly states so.
- Where we install a machine, the Buyer prepares the site in line with the machine requirements — including access, power supply, compressed air, extraction and a suitable floor — before our technicians arrive.
6. Inspection & complaints
- The Buyer must inspect the Goods on receipt.
- Visible transport damage must be noted on the delivery document (CMR / delivery note) in the carrier's presence.
- Visible defects or missing items must be notified to us in writing within 5 working days of receipt.
7. Defects
The Goods are supplied in accordance with the manufacturer's technical documentation, which governs their specifications, use and maintenance. The Buyer must notify defects in writing promptly after discovering them, and allow us to examine the Goods. Rights arising under applicable law are not affected by these terms.
8. Retention of title
The Goods remain the property of Adline until the price has been paid in full. Until then the Buyer must keep the Goods identifiable and may not pledge them or transfer ownership as security.
9. Limitation of liability
- We are not liable for indirect or consequential loss, including lost production, lost profit, revenue or downtime.
- Our total liability in connection with an order is limited to the price of the Goods concerned.
- These limitations do not apply where the law does not allow liability to be limited or excluded.
10. Force majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, such as natural disasters, war, epidemics, government action, strikes, or disruption to transport or manufacturers' supply. Obligations are suspended for the duration of the event.
11. Export & use
The Buyer is responsible for obtaining any permits, registrations or approvals required at the destination, and for complying with local rules on the installation and use of the Goods.
12. Data protection
We process personal data in line with our Privacy & Cookie Policy.
13. Governing law & courts
These terms and every sale under them are governed by Romanian law. Disputes are subject to the competent courts of the seller's registered office in Bucharest, Romania.
